Partnership & JV mandates

Joint venture partners identified, verified and brought to an arrangement with governance decided before money moves.

Joint ventures fail far more often on governance than on commercial logic. Two capable partners with complementary strengths will still end up in dispute if nobody agreed in advance who decides what, how profits are distributed, and what happens when one side wants out.

We identify partners whose capabilities genuinely complement yours rather than duplicate them, verify their credentials and standing, and then mediate the structural conversation most parties postpone — capital and non-capital contributions, decision rights, deadlock resolution, profit distribution and exit mechanics.

These are uncomfortable discussions to have while everyone is optimistic. They are considerably more uncomfortable to have for the first time during a disagreement, which is precisely why we insist on them early.

What the engagement includes

  • Partner sourcing matched on complementary capability
  • Credential, standing and corporate records verification
  • Capital and non-capital contribution structuring
  • Decision rights and deadlock resolution mediated
  • Profit distribution and exit mechanics agreed upfront

Every engagement follows the four-stage process used across the commercial brokerage desk — brief, then the work, then review, then delivery — with scope and cost agreed in writing before anything begins.

(FAQ)
Do I need a local partner to operate in the UAE?

Requirements depend on your activity, jurisdiction and licence type, and have changed substantially in recent years. Many activities now permit full foreign ownership. Confirm your specific case with a licensing advisor before assuming either way.

Can you help structure the agreement itself?

We mediate the commercial and governance terms between principals and document what has been agreed. Drafting and execution of the binding agreement should be handled by qualified legal counsel.

What if we cannot agree on valuation of contributions?

This is common where one side contributes capital and the other contributes market access or expertise. We work through comparable structures and mediate toward a split both sides can defend.
